These Terms of Service ("Terms") govern your access to and use of the sociPal mobile application and related services (collectively, the "Service") operated by Buyxall LLC ("we", "us", or "our"). Please read these Terms carefully before using the Service.
By downloading, installing, or using sociPal, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 13 years old to use sociPal. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service you represent that you meet these requirements.
You must create an account to use sociPal. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at info@buyxall.com if you suspect unauthorized access.
sociPal is an AI-powered social media management tool that allows you to connect your social media accounts (Instagram, Facebook, YouTube, TikTok, and others), create and schedule content, analyze performance, and generate AI-assisted captions and strategies. Features may vary by subscription plan.
You may connect third-party social media accounts to sociPal. By doing so, you grant us permission to access and interact with those accounts on your behalf, solely as directed by you. You represent that you have the right and authority to connect those accounts and that your use complies with each platform's terms of service. We are not responsible for actions taken by third-party platforms, including account restrictions or API changes.
sociPal may offer free and paid subscription tiers. Paid subscriptions are billed in advance on a recurring basis (monthly or annually) through Apple App Store or Google Play Store. Prices are displayed in the App and may change with reasonable notice. All payments are processed by the respective app store and are subject to their terms. We do not store your payment card information.
Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period. To cancel, manage your subscription through your App Store account settings. No refunds are provided for partial periods, except as required by applicable law.
You agree not to use sociPal to:
sociPal uses artificial intelligence to help generate captions, hashtags, and content suggestions. AI-generated output may be inaccurate, incomplete, or inappropriate for your specific context. You are solely responsible for reviewing, editing, and approving any AI-generated content before publishing. We make no warranties regarding the suitability, accuracy, or legal compliance of AI-generated suggestions.
You retain all ownership rights in the content you create and publish through sociPal. By using the Service, you grant Buyxall LLC a limited, non-exclusive license to host, store, process, and transmit your content solely to provide the Service. We do not claim ownership of your content.
The sociPal application, including its design, features, code, branding, and AI models (excluding your content and third-party content), is owned by Buyxall LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
Your use of sociPal is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.
sociPal integrates with third-party services and APIs. We are not responsible for the availability, accuracy, or content of third-party services. Your use of those services is governed by their respective terms and policies.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUYXALL LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Buyxall LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.
We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice. You may delete your account at any time from the App settings. Upon termination, your right to use the Service ceases immediately.
We may update these Terms from time to time. We will provide notice of material changes via the App or by email at least 14 days before changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
These Terms shall be governed by the laws of the jurisdiction in which Buyxall LLC is registered, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration, except where prohibited by law, before any recourse to courts. Nothing in this section prevents either party from seeking injunctive or other equitable relief in court.
